Our Software Strategy Group (SSG) operates within EY’s Strategy & Execution (S&E) practice – EY’s market leading team delivering technology, operations, and financial advisory services to corporate and private equity clients pursuing acquisitions, divestitures, or business restructurings. The S&E team brings together specialists across commercial, operations, software, technology, cyber, finance, and deal execution, drawing on deep experience from industry, advisory, and audit. 

SSG provides top-tier product and technology diligence, strategic guidance, and transaction advisory. Each year, we help hundreds of companies and investors evaluate product architectures, enterprise technology environments, and technical teams to inform critical investment decisions. In every engagement, you will interact directly with the target company’s CTO / CIO and broader management team, learning how real decisions are made and how mature tech organizations operate. 

 

Key strategic focus areas include: 

  • Product & Technology: Providing investment and acquisition guidance across commercial, product, and technical dimensions to assess software businesses or companies leveraging proprietary technology. 

  • Enterprise Technology: Evaluating technology risks and opportunities across operating models – including IT organizations, enterprise systems, infrastructure (server, storage, network, cloud), data, spend, strategy, and governance. 

  • Cybersecurity: Assessing how cyber considerations intersect with business operations, regulatory requirements, and critical assets using our proprietary tools, benchmarks, and operational understanding.

The opportunity  

We are expanding our Singapore team and seeking a Manager who can evaluate how technology is architected, deployed, and leveraged within a target business – while applying a critical, dealfocused lens to address core client questions in transactions. You will advise clients across sectors, support executive decision makers, and lead engagement workstreams across predeal software and technology due diligence, carveouts and integrations, and portfolio value assessments. 

 

Your key responsibilities  

  • Deliver end-to-end technology due diligence across a target’s technology landscape - including proprietary software, enterprise technology, data, infrastructure, cybersecurity, architecture, and delivery capability – identifying key risks, value drivers, investment needs, and operational implications. 

  • Evaluate proprietary software and product technology, assessing feature set, roadmap, architecture, R&D processes, development practices, scalability, security posture, technical debt, and team capabilities to determine the product’s ability to support future growth and investment. 

  • Advise on technology and cybersecurity in separations and integrations, from presign to postclose – mapping dependencies in carveouts, identifying integration synergies, shaping Day1 readiness, defining interim and target-state operating models, assessing execution risks, and guiding TSA structures and readiness. 

  • Conduct rapid valuecreation diagnostics, identifying operational bottlenecks, performance gaps, and costoptimization opportunities, and developing actionable plans to accelerate benefit capture. 

 

To qualify for the role, you should have, 

  • Experience leading project workstreams or small teams, including planning, prioritisation, and quality review of deliverables in a fastpaced, transactiondriven environment. 

  • Proven ability to manage client relationships independently, including engaging senior stakeholders, structuring analyses, and driving discussions to actionable outcomes. 

  • SBasic or strong understanding of modern software concepts (e.g., software development lifecycle, product management, cloud infrastructure, software architecture, APIs, data platforms, etc.), enterprise IT environments (ERPs, CRMs, HRISs, etc.), and cybersecurity principles. 

  • Demonstrated experience analysing complex business or technical problems and synthesizing insights for senior stakeholders. 

  • Ability to apply a commercial and dealfocused mindset to assess technology risks, investment needs, operating models, and scalability. 

  • Excellent written and verbal communication skills, with the ability to present complex technology topics clearly to nontechnical executives (CIO/CTO/CEO, investors, deal teams). 

  • A selfstarter mindset with a commitment to learning, continuous improvement, and delivering exceptional client service 

 

Ideally, you’ll also have, 

  • A bachelor’s or higher degree in Business Administration, Economics, Information Technology, Computer Science, or related fieldsTransactions / M&A experience. 

  • At least 6 years of client facing experience from a professional services background
