The opportunity
Our Business Law Services practice draws on EY’s vast global legal network to support our clients in navigating the complexities of today's business environment. The Business Law Services practice assists on a wide range of commercial law issues in numerous industries. Our team provides corporate and partnership law advisory services, including corporate re-organizations, mergers and acquisitions, financings, joint ventures, transfer pricing, drafting commercial contracts and drafting employment policies and procedures.
We are seeking an experienced corporate lawyer to join our team.
Your key responsibilities
- Drafting, reviewing and analyzing corporate commercial contracts, including but not limited to service agreements, joint operating agreements, participating agreements and other agreements necessary to conduct operations
- Advising and participating in the review of legal corporate commercial matters including contract disputes, operating agreements, corporate reorganizations, acquisitions and divestitures, including due diligence
- Implementing tax reorganizations and corporate transactions
- Assisting start-ups in expanding into Canada and navigating Canadian legal regime
- Collaborating with various EY practices including our People Advisory Services practice and our Global Network for corporate law related work
Skills and attributes for success
- Ability to deliver robust and appropriate legal advice and exercise sound judgement when consulting on difficult issues
- Excellent relationship building and business development skills, and a keenness to further develop these skills
- Ability to develop innovative and practical approaches to legal issues in support of strategic business goals
- A proven ability to think critically and exercise good judgement
- Capable of managing a caseload independently
To qualify for the role, you must have
- 4 or more years of experience as a Corporate Lawyer gained in private practice or in-house
- A Ontario bar call
- A high level of technical knowledge of Canadian corporate and contract law along with recent relevant experience in
- Mergers and Acquisitions
- Distribution, licensing and shareholder agreements
- Corporate governance
- Commercial arrangements
- Experience dealing with corporate law issues across Canada and with clients across a wide spectrum of sizes and activities
- Strong drafting skills

EY reports salary ranges in accordance with applicable provincial pay transparency legislation. Individual salaries within the anticipated salary ranges noted below are determined through a wide variety of factors including but not limited to internal equity, education, relevant experience, knowledge, and applicable skill sets.
- Toronto: $115,000 to $165,000
