We’re hiring a US Transaction Tax Manager for our leading US Transaction Tax team, to lead complex deal tax advisory projects, drive tax structuring strategies, prepare US tax due diligence reports and deliver high-impact insights for mergers, acquisitions, and restructurings. Our team also provides various other international tax consulting services.

As a Transaction Tax Manager at EY, typical responsibilities include:

  • Managing and executing tax due diligence for transactions (acquisitions, mergers, divestitures) — assessing potential tax liabilities, exposures, tax-related risks.
  • Structuring transactions for clients (strategic buyers, private equity funds, corporate acquirers, sellers), including tax structuring, deal planning, review purchase agreements, and post-closing reorganizations/PMI.
  • Leading and managing engagement teams that may include attorneys, CFOs, corporate directors, accountants and other tax professionals.
  • Building relationships with clients (and possibly portfolio companies) to provide tax-planning advice and identify opportunities for tax-efficient structuring.

 

Requirements

  • Either:
    • a CPA; or
    • A licensed attorney (advantage for both lawyer and CPA)
  • Few/several years of relevant professional experience (minimum 2 years) in a US-tax advisory role, M&A tax experience and/or international tax
  • Advantage:
    • Hands-on experience with:
      • Tax due diligence in transactions (M&A, acquisitions, divestitures)
      • Deal structuring and post-acquisition / post-deal tax planning (PMI)
  • Strong technical tax skills and familiarity with US domestic and cross-border) tax issues.
  • Excellent writing, research, analytical, and communication skills. Ability to research complex tax issues and communicate them clearly to clients and team.
  • Ability to manage projects, budgets, and teams.
