EY's SPA Advisory Team provides expert support to clients, investment banks, lawyers and deal teams on M&A pricing mechanisms and the accounting aspects of sale and purchase agreements (SPAs), including support around any post deal Completion Accounts.

 

The opportunity

To join EY’s specialist dedicated SPA Advisory team, who are passionate about driving transaction value with integrity. The role involves the identification and articulation of value issues related to deal pricing mechanics to assist clients in their SPA negotiations and will involve interaction with deal teams and clients at all stages of a transaction from pre-deal work to value identification and contract negotiation through to post-completion support.

With only a small number of specialists globally, you will be developing a truly unique and highly valued skillset.

 

The role will enable you to:

  • Develop a specialist skill-set in a high value-add area for corporate and private equity clients
  • Gain experience on a wide range of transactions (on both the buy-side and the sell-side) in different sectors and markets (private equity, corporate, privately owned businesses)
  • Improve analytical and negotiation techniques
  • Gain insight into key value levers for clients in negotiating SPAs
  • Work closely with due diligence teams to identify and mitigate risk for clients
  • Develop a strong internal and external network

 

Your key responsibilities: 

  • Working closely with clients, their bankers and legal advisers, transaction diligence teams and other SPA team members to manage and deliver advice around the price adjustment mechanisms on M&A transactions, including analysis of cash, debt and working capital adjustments, preparation of pricing schedules, reviewing and commenting on the financial aspects of the SPA, assisting the client with their preparation or review of Completion Accounts, and performing Leakage reviews.
  • Delivering critical market leading insights to assist client decision making.
  • Identifying value opportunities and areas of risk, together with solutions to crystalise the value or protect the risk.
  • Supporting clients to execute transactions through detailed drafting and negotiation of the accounting aspects of the SPA.
  • Finding contractual pricing solutions to commercial issues.
  • Managing and reviewing the work of other team members.
  • Supporting negotiations with the other side on transactions by leveraging extensive unique market knowledge.
  • Building valued relationships with external clients and developing a portfolio of projects by focusing on high value opportunities.
  • Collaborating with our broader Strategy & Transaction teams to utilise and enhance the wider team’s experience.
  • Taking ownership for Quality and Risk Management (Q&RM) to ensure client work is delivered consistently and in compliance with EY's quality standards.
  • Becoming an active counsellor, coach and role model to junior team members.
  • Communicating with partners, directors in a flat team structure.

To qualify for the role you must have:

Knowledge and experience of a number of the following areas:

  • Understanding, digesting, explaining and analysing financial information
  • Modelling, testing, documenting financial scenarios and anticipating challenges
  • Analysing strengths/weaknesses of opposing cases, formulating alternative scenarios and advising on strategic implications
  • Preparation of high calibre presentations and thought leadership.
  • Controlling risk management procedures.
  • Project management and coaching.

 

Essential requirements 

  • Previous experience in a transaction or audit environment (e.g. at an accounting firm, investment bank) is preferred.
  • Previous experience with complex clients and / or transactions.
  • Strong understanding of financial statements work relationships between the balance sheet and earnings.
  • Ability to explain complex issues succinctly, including to senior clients and advisors.
  • Strong analytical skills and commercial awareness.
  • Excellent project management and organisational skills.
  • Ability to manage the work of others and provide coaching and support.
  • Skills in Excel, Word, PowerPoint
  • Professional accountancy qualification
