At EY‑Parthenon, we work at the intersection of strategy, transactions and value creation, advising corporates, private equity investors and governments on their most critical investment decisions. Our Transaction Diligence team goes beyond traditional diligence — partnering with investors and management teams to shape investment theses, assess value creation opportunities and influence deal outcomes across the full transaction lifecycle.


As a Senior Consultant or Manager, you will work on complex buy‑side and sell‑side transactions for private equity funds and strategic acquirers, supporting some of the most active dealmakers in the Australian and global markets. You will be trusted to lead key workstreams, challenge management assumptions, identify value drivers and risks, and translate financial analysis into clear, commercial insights that inform valuation and deal structure.


This is an opportunity for experienced transaction professionals who want to move beyond execution‑focused diligence and play a more commercial, investor‑led advisory role on transactions.

 

This is a hybrid position based in Warrang – Sydney. Our roles can potentially be adjusted to work flexibly with reduced hours. Please speak with us about potential options.

 

Your Key Responsibilities

 

As a Senior Consultant / Manager, you will:

 

  • Lead and deliver financial due diligence engagements on acquisitions and disposals for private equity investors and strategic corporate buyers.
  • Own and review detailed analysis of historical and forecast financial performance, including quality of earnings, working capital, cash flow dynamics, and key commercial drivers.
  • Conduct and lead management interviews, critically assess assumptions, and identify deal‑critical risks, upside opportunities and value creation levers.
  • Translate complex financial analysis into clear, decision‑useful insights that directly influence valuation, deal structure and investment decisions.
  • Prepare and review high‑quality, executive‑level deliverables, including diligence reports, investment committee materials and board‑ready summaries.
  • Manage engagement economics, timelines and stakeholders, and coordinate cross‑functional EY teams (strategy, tax, modelling, SPA, integration) to deliver an integrated transaction solution.
  • Coach and mentor junior team members, contributing to capability uplift and a high‑performance, deal‑driven culture.

 

Skills and Attributes for success 

 

  • A bachelors or master’s degree in accounting, business, finance or economics preferred
  • At least 3-5 years of relevant experience, ideally within Transaction Services / Financial Due Diligence, M&A advisory and corporate finance.
  • Demonstrated experience delivering buy‑side and/or sell‑side FDD engagements, with exposure to private equity and complex transactions.
  • A member of the Institute of Chartered Accountants, or international equivalent
  • Strong analytical and interpersonal skills 

 

Note: While candidates may have started their careers in audit, this role is best suited to professionals who have already transitioned into transaction‑focused roles and have hands‑on experience delivering financial due diligence in a deal environment.
