Your key responsibilities

Technical Excellence


 Your main objective is to help the Transaction tax team deliver quality deliverables using tax knowledge gained from training and assistance from more experienced tax professionals.  Contribute to the profitable growth by ensuring client engagements are executed in an efficient manner.

Operational Excellence / Day to day responsibilities
Research and analysis of transaction tax related laws (such as domestic and international tax, corporate laws, SEBI, FEMA, Competition Act, stamp duty laws etc.) on inbound and outbound deals, corporate reorganizations, securities market aspects, etc.
Research on tax theory and positions, and apply them to specific client needs
Prepare deliverables capturing implications arrived on the basis of above research, in word, PowerPoint, excel or email form as required
Perform direct tax diligence (this involves scrutinizing past tax issues, record, compliance, etc. of the target) and capture the facts and analysis in a diligence report
Use and apply the right tax practice processes and tools to be as efficient as possible in your work
Be updated on latest developments and share articles on industry trends
Support knowledge sharing efforts and improve processes so that the work team can capture and leverage knowledge
MIS: Follow up on billing, collection, etc. 
Willingness to travel locally and outside city for work


Your key responsibilities

You will be expected to perform the following functions as part of the ECG practice -
·       Independently interact with clients (from various geographies) and advise them on compliance under : (a) Companies Act, 2013, (b) Foreign Exchange Management Act, 1999, (c) SEBI Regulations such as SEBI (Listing Obligations and Disclosure Requirements) Regulations, SEBI (Prevention of Insider Trading) Regulations etc., and (d) other entity level corporate compliance
·       Assist clients with their routine procedural requirements under the Companies Act, 2013 (such as conduct of Board and shareholder meetings) and other statutory obligations (such as maintenance of minutes books, statutory filings, maintenance of statutory registers, etc.)
·       Assist clients with their procedural requirements under the SEBI Regulations and FEMA/ RBI Regulations
·       Advise and assist clients with respect to non-routine initiatives under the abovementioned legislations such as compounding application, approval applications, etc.
·       Interacting with regulators such as regional offices of Ministry of Corporate Affairs (MCA), SEBI and RBI
·       Conduct due diligence on companies with respect to their corporate compliance under the abovementioned legislations
·       Creating and/or following up on pursuits and converting them to business engagements

Skills and attributes for success

·       Knowledge of the abovementioned legislations – You will be expected to have a deep understanding of the subjects to be able to interpret provisions and advise clients independently

To qualify for the role you must have
Qualification

·       Graduate/Postgraduate in Economics / Engineering / Mathematics / Statistics / MBA

Experience

2 – 3 years of post-qualification experience in M&A taxation matters and working knowledge of SEBI, FEMA and stamp duty laws
Minimum 2 years of post-qualification experience in transaction tax related laws
