We help our clients in identifying and managing the interplay between upside and downside risk in order to make the long-term decisions to prevent risk and impact on their organization's ability to meet its future business strategy and objectives. The 3 key fields of play are :
Enterprise Risk - helps clients identify and address key risk areas, while building the agility to respond quickly. The areas of focus include Enterprise risk and resilience, Internal audit, Compliance and Internal controls
Technology Risk - helps clients to achieve sustainable growth by supporting their efforts to protect their business performance and by providing trusted communications on internal control and regulatory compliance to investors, management, regulators, customers and other stakeholders. EY teams accomplish this by assessing the technology risks that are introduced to businesses.
Financial Services Risk - helps clients in the financial sector to identify, manage and monitor the risks in their business. It is done through a transformative and agile approach including process and procedures, risk, data modeling and analytics, reporting to stakeholders and third parties, business requirements (for software selection and IT implementation), analysis of assets and liabilities, and capital and liquidity management.
Your key responsibilities
Technical Excellence
- Role Purpose Support client-facing teams and partners in contract negotiations, interpretation, and governance of General Terms & Conditions (GTCs), ensuring alignment with firm risk policies while enabling business outcomes. This role bridges legal, commercial, and risk management aspects to drive compliant and practical contracting solutions. Key Responsibilities 1. Client Contract Negotiation Support Partner with engagement teams to review, draft, and negotiate client contracts (MSA, SOW, NDAs, RFP responses) Support resolution of deviations from standard EY GTCs, including client-specific clauses and commercial positions Provide guidance on acceptable vs. non-acceptable clauses (liability, indemnity, confidentiality, IP, penalties) 2. GTC Interpretation & Advisory Act as a subject matter expert on EY General Terms & Conditions (GTCs) and contracting frameworks Help partners understand: Risk implications of modifying standard clauses Long-term impact of precedents in client negotiations Support structuring of engagements by balancing client requirements vs. firm safeguards 3. Risk Management & Compliance Integration Lead / support RMAP reviews and ensure all contractual risks are captured and mitigated appropriately Identify exposures such as: Unlimited liability Broad indemnities Regulatory / compliance risks 4. Internal Stakeholder Enablement Work closely with: Partners / Engagement Leaders Consulting Quality / Risk Management teams GCO / Legal teams Enable teams through: Simplified interpretation of contracts and clauses Advisory during deal shaping and RFP response stages Act as a thought partner in commercial and legal discussions 5. Training & Knowledge Dissemination Conduct training sessions / learning modules on: GTCs and contracting best practices Common negotiation scenarios and resolutions Develop guidance notes, playbooks, and case studies based on recurring issues Promote awareness on contract structure (SOW, GTC, NDAs, appendices) and their role in risk mitigation 6. Contract Governance & Consistency Ensure standardization of contracting practices across engagements Prevent inappropriate precedents by ensuring: Exceptions are engagement-specific and well-documented Maintain repository of approved deviations and negotiation learnings Key Skills & Competencies Strong understanding of commercial contracting and legal frameworks Expertise in contract negotiation (MSA, SOW, GTC) Ability to translate legal language into business impact Strong stakeholder management (Partners, Legal, Risk, Clients) Analytical mindset with focus on risk identification and mitigation Excellent communication and influencing skills Preferred Background Experience in Legal / GCO / Risk Management / Consulting Quality Exposure to: Client negotiations and contract structuring RFP responses and commercial discussions Risk frameworks (e.g., RMAP or similar)
