The opportunity
Our Transaction Tax Practice is comprised of a dedicated team focused on the tax aspects of corporate and private equity acquisitions, dispositions, restructurings and capital market transactions. As a Senior Manager on the Transactions team, we'll look to you to apply your knowledge to a wide range of tax areas, devising strategic outcomes to very complex issues, including US domestic and cross-border tax strategies. As a Senior Manager in Transaction Tax, you will support corporate and private capital markets clients through tax diligence and transaction advisory. You will drive restructuring and buy/sell‑side due diligence, shape tax strategy amid BEPS change, manage exposures, and guide transactions across cash, debt, equity, derivatives, and FX.
- Lead tax risk and opportunity assessments on acquisitions, dispositions, and restructurings.
- Advise on financial‑instrument tax implications to optimize value.
Your key responsibilities
Own engagement delivery, quality, and risk. Expect daily client interaction and accountability for program/project management, resource planning. Coach teams, partner with PPMDs on RFPs, spot opportunities, and solve issues. Travel required as needed.
- Exercise judgment in selecting methods and evaluation criteria to drive results.
- Develop solutions to complex problems and recommend policy or procedure changes.
- Establish procedures that influence your team and the broader function.
Skills and attributes for success
- Lead multiple client engagement teams, participating in due diligence and structuring engagements related to transactions for private equity and strategic corporate clients.
- Review merger agreements and provide opinion letters.
- Identify and analyze tax risks and opportunities while advising on alternative tax strategies for acquisition, disposition, and restructuring of businesses.
- Review, assess, and advise clients regarding tax computations reflected in their financial models; and assist clients in the quantitative and qualitative analysis of the tax data in their financial projections for the transaction.
- Leadership of complex processes, solutions, and multi‑workstream projects.
- Ability to build and manage client relationships and drive revenue opportunities.
- Strength in coaching teams and maintaining quality and risk rigor.

To qualify for the role, you must have
- Bachelor’s degree required (4-year degree)
- US CPA or member of US State bar
- Experience – 5 - 7 years relevant experience
- Tax due diligence, deal structuring, restructuring and post-acquisition planning experience
- Experience managing budgets, projects and people
- Proficiency in data visualization and storytelling
- Knowledge of private equity transaction actions
- Experience leading post‑deal integration
- Ability to perform asset impact assessments or support mergers and acquisitions

- We offer a comprehensive compensation and benefits package where you’ll be rewarded based on your performance and recognized for the value you bring to the business. The base salary range for this job in all geographic locations in the US is $147,400 to $336,800. The base salary range for New York City Metro Area, Washington State and California (excluding Sacramento) is $177,000 to $382,800. Individual salaries within those ranges are determined through a wide variety of factors including but not limited to education, experience, knowledge, skills and geography. In addition, our Total Rewards package includes medical and dental coverage, pension and 401(k) plans, and a wide range of paid time off options.
