Your key responsibilities
Technical Excellence
- Key Responsibilities: Contract Drafting & Review
- Draft, review, and negotiate Non-Disclosure Agreements (NDAs), confidentiality agreements, engagement letters, non-reliance letters, and other commercial contracts.
- Support drafting and review of M&A related documentation, including term sheets, shareholders' agreements and share subscription agreements (SHA/SSA), share purchase agreement (SPA) support documents, side letters, data room documentation, and other ancillary agreements, including assistance with Conditions Precedent (CP) identification and tracking, closing support (CS), and transaction completion requirements.
- Ensure contractual provisions appropriately address confidentiality, data protection, intellectual property ownership, risk allocation, indemnities, and limitation of liability, particularly in the context of sensitive investigations and other high-risk engagements. Forensics, Investigations & Integrity Support
- Provide legal support across forensic investigations, integrity reviews, compliance audits, and related engagements, including detailed contract interpretation, document review, and assessment of legal positions relevant to alleged misconduct or disputes.
- Review transactional, corporate, and commercial documentation as part of pre and post deal forensic reviews to identify red flags, control weaknesses, integrity gaps, potential regulatory breaches, or indicators of fraud, corruption, or non-compliances.
- Work closely with multidisciplinary investigation teams to analyse contractual obligations, assess potential breaches and exposure, support issue evaluation, and contribute to fact finding, root cause analysis, and reporting from a legal and forensic risk perspective. Legal Due Diligence & Risk Assessment
- Support legal due diligence in M&A, joint ventures, and strategic transactions from a forensic and integrity lens.
- Identify, analyse, and document legal, contractual, governance, regulatory, and compliance risks, and support preparation of structured risk summaries, red flag reports, issue trackers, and mitigation recommendations.
- Review third party contracts, counterparties, and commercial arrangements as part of third-party due diligence and integrity assessments to assess exposure to regulatory non-compliance, conflicts of interest, misconduct, or reputational risk. Compliance & Governance
- Assist in ensuring contract language aligns with applicable laws and regulations (Companies Act, FEMA, data protection and privacy requirements, etc.).
- Support implementation of internal risk management, independence, and confidentiality frameworks.
- Maintain accurate documentation and working papers in line with requirements of specific engagements. Stakeholder & Engagement Support
- Coordinate effectively with internal stakeholders across Forensics, Risk, Compliance, and business teams, and liaise with external counsel, advisors, and subject matter specialists as required to support investigative and transaction related engagements.
- Support senior team members in preparing high quality engagement summaries, client deliverables, legal analyses, forensic findings, and contract related presentations, ensuring accuracy, clarity, and professional judgment.
- Ensure timely delivery of assigned workstreams with high quality and confidentiality standards. ________________________________________ Eligibility & Experience
- Qualification: LLB from a recognised university (LLM preferred but not mandatory).
- Experience: o 3–5 years of post-qualification experience in: ? Contract drafting and review, and ? Exposure to M&A transactions, NDAs, or transaction support, preferably within law firms, consulting/advisory, or in house legal teams.
- Demonstrated experience in drafting and negotiating NDAs, confidentiality arrangements, commercial contracts, and transaction related documentation.
- Prior exposure to forensic investigations, integrity reviews, compliance audits, due diligence, or risk and regulatory advisory engagements is a strong advantage.
- Experience working on sensitive, high risk, or confidential matters, with the ability to exercise sound legal judgment in complex and time critical environments.
