GDS SaT - Manager – Transaction Diligence

Within SaT, Transaction Diligence (TD) services encompass the strategic development and execution of an appropriate transaction structure, which includes execution of financial due diligence, IPOs and restructuring of banking loans. Our team works to understand profit drivers and trends, assumptions of future performance, and assists with purchase agreements and post-closing transaction matters. This helps clients maximize value, mitigate risks and achieve their strategic goals, in acquisition and divestiture deals. We provide our clients start-to-finish support in the acquisition process, including input on strategy, early identification of risk areas, coordination and execution of due diligence investigations (financial and commercial) and input and advice on contract terms geared to reduce risks. We also get involved in assisting our clients with a host of services surrounding closing the transaction and post-deal integration.

We’re looking for a Manager with experience in Financial Due Diligence, external audit experience, mergers and acquisitions transactions, experience in the field of financial planning and analysis, statutory accounting and credit rating to join TD team. Your key responsibilities

  • Understands the due diligence process and has experience in financial analysis, write and/or review detailed reports regarding due diligence and financial analysis
  • Analyze financial and operational results of target companies using accounting information and interviews with management
  • Identify and convey key deal issues having impact on purchase price or deal structure
  • Demonstrates and applies in-depth subject knowledge to deliverables and has general understanding of other-related disciplines
  • Lead critical engagements, working closely with the engagement partners/ directors
  • Focus on team’s key priorities while managing several large to medium-size projects
  • Counsel team members on the project on KPIs, key financial drivers, sector analysis, etc.
  • Ensures that team members deliver quality service as per client’s needs and priorities
  • Measure, monitor and improve client service by guiding team members and driving excellence in service delivery within the defined geographical area
  • Prepare engagement budgets and timetables, and manage delivery against them
  • Reviews quality of deliverables, in terms of accuracy of research findings, presentation of data, logical reasoning of points of view, usage of crisp and effective language, and comprehensiveness of scope vis-à-vis the agreed scope
  • Provide expert reviews for all projects within the assigned subject
  • Identifies, develops and implements best practices in projects. Defines need for new information requirements and provides feedback on new sources.
  • Manages efficiency and productivity of team members on a day-to-day basis. Ensures adherence to SaT work-flow protocol and tools
  • Assists in capacity planning, competency mapping and recruitment of resources for the assigned teams
  • Contribute to L&D initiatives though regular trainings on relevant topics & mentoring of team members

 

Skills and attributes for success

  • Relevant experience in Financial Due Diligence, external audit experience, mergers and acquisitions transactions, Corporate M&A  and credit rating
  • Strong analytical and project management skill
  • Effective written/verbal communication and presentation skills
  • Strong drive to take new initiatives and ability to adapt to new situations and ideas
  • Advanced knowledge and experience in any of the following sectors will be an added advantage – Financial Services, Oil and Gas, Technology, Consumer Products, Power and Utilities and Life Science
  • Excellent communication, organizational, interpersonal and teaming skills.
  • Willingness to travel, when necessary
  • Proficiency in Microsoft Office, primarily Excel & Power point, familiarity with analytical tools like Alteryx, Power BI, Power pivot, Tableau etc. will be an added advantage

 

To qualify for the role, you must have

  • Chartered Accountancy degree or MBA in Finance from a premier institute with 8-10 years of experience
  • Relevant experience in Financial Due Diligence, external audit experience, mergers and acquisitions transactions, experience in the field of financial planning and analysis, statutory accounting and credit rating
