Global GDS Company Secretary

 

The GDS firms are various service delivery centers from which EY Client Service and Enablement Services teams operate to deliver strategic support to EY member firms. GDS spans all geographies, practices, services lines, sectors and competencies within EY to deliver deeply integrated services that result in efficient and world-class solutions.

 

 

The opportunity

 

Our Global Delivery Services (GDS) business is seeking a qualified lawyer and company secretary for the position of Global GDS Company Secretary. The Global GDS Company Secretary will advise on and coordinate with the GDS Lead Legal Counsel, GDS Corporate Lawyer and members of the GDS Legal Team on governance and organizational matters for the GDS locations.

 

The GDS Legal Team is part of the Global GCO team and is responsible for all legal support to the GDS business.

 

 

As the Global GDS Company Secretary you will be responsible for providing corporate governance support, implementing best practices and managing governance structures across the GDS centers in Poland, India, Hungary, Argentina, Philippines, UK, Spain, Mexico, Sri Lanka and other upcoming GDS locations. You will be working closely with the other members of the GDS Legal Team, Global GCO Team as well as business stakeholders in all GDS locations.

 

 

Your key responsibilities

 

The work within the GDS Legal team across all GDS locations is highly varied and covers matters arising from the running and expansion of our professional services business.

 

You will be responsible for a range of secretarial matters including:

 

  • Preparing agendas, notices, minutes and all preparatory and supplementary documents and material for board, committee and shareholder meetings. You will also be responsible for follow up action points arising from these meetings
  • Maintaining statutory books
  • Implementing processes and systems to ensure good management of the organization
  • Taking an active role and providing valuable input to management decisions related to share issuances, share transfers, mergers, and acquisitions
  • Implementing Corporate Governance processes
  • Handling all regulatory compliances including filings (where applicable)
  • Coordinating with cross functional teams, local counsels (where required) and directors on the boards of GDS entities.

 

You will be required to support the GDS Corporate Counsel in implementing and monitoring an operating framework appropriate to each jurisdiction.

To qualify for the role, you must have

 

  • Bachelor of Laws
  • Qualified graduate and member of the Institute of Company Secretaries of India
  • Minimum experience of 7 years post attaining CS qualification, preferably with in-house experience
  • Exposure in handling Corporate secretarial matters of other countries would be an added advantage

 

 

Ideally, you’ll also have

 

  • Worked in an In-House Legal Department of a Global MNC for minimum 5 years supporting multiple jurisdictions.
