The opportunity
This is an exciting opportunity to join a fast-growing team within EY. Based in the GCO Enablement team- Commercial Contracting team in GDS India, the role will support in-house lawyers and EY’s business on client and vendor contracts. You will provide legal support to the business and become a trusted adviser of stakeholders (often at senior level, including engagement partners). You will be expected to assess and understand how firm risks can be best managed and mitigated.
Your responsibilities
- Drafting, reviewing, negotiating, finalising and advising on client and procurement contracts (for EY and its global network member firms) and shall include:
- IT contracts for multiple EY divisions and variety of technologies (such as AI, robotics, analytics), including:
- Software License contracts, Hosted software/hosted services agreements;
- IT Services agreements; Software support agreements; SLAs
- Client Contracts (Engagement Agreement, Teaming Agreement, Sub-Contract Agreement, RFPs, Managed Services Agreement).
- Excellent knowledge of negotiating technology contracts plus hands-on experience in complex transactions, preferably from an in-house team of an IT company
- Providing business and legal advice and guidance to stakeholders and end users regarding potential issues stemming from new and existing contracts.
- Working with internal stakeholders to develop strategies to address issues identified.
- Communicating progress, challenges, risks and benefits to appropriate management levels and affected user groups and other members of the GCO in the affected jurisdictions.
- Understanding practice and business goals and how they impact the types of products and services procured.
- Coordinating with cross functional teams (tax, data privacy, information security) as part of the contract finalisation process.
- Ensuring that accurate and sufficient contractual documentation is developed to effectively document the commercial transactions and to protect EY’s interests.
- Understanding the relevant EY policies the transactions and how contract drafting, negotiation and execution are impacted by those policies (Independence, Procurement, Data Privacy, etc.).
- Ensuring that all contractual documents developed are compliant with EY policies.
- Managing team’s workflow and propose process improvements, automations and efficiencies.
- Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.

- Excellent negotiations skills - It would also be preferable if the candidates had at least some experience negotiating with the “big box” vendors (IBM, Microsoft, SAP, etc);

Team/People Management:
- Manage a team of legal counsels
- Drive implementation of initiatives within team to enhance team competency continuously
- Monitor utilization and skills development to meet the needs of internal stakeholders;
- Helping team members with their queries and identify training gaps and coach team members
- Work Assignment and allocation
- Counsel and mentor team members; conduct one on one meetings, plan leave and attendance
- Assisting in managing the hiring pipeline.
Internal Client Management:
- Contribute to the preparation of stakeholder presentations, where necessary
- Responsible for meeting agreed Service Level Agreements (SLAs)
- Actively manage stakeholder expectations through a robust account management framework
- Responsible for development of internal guidelines, toolkits on legal and business issues.
- Assisting in expanding the RMS-GDS-GCO team to additional service lines, regions, and scope
- Assisting in driving various larger team initiatives.

Experience and qualifications
- Law Graduate/ LL.B with minimum of 10 years of relevant post-qualification experience (at least last 5 years in a people management role).
- Hands on experience in negotiating and finalising technology contracts.
- Excellent knowledge of privacy and data protection (GDPR/CCPA)
- Well-developed analytical, interpersonal, and communication (both verbal and written) skills in English.
