As a (senior) manager of merger integrations and carve-outs you will make that happen. You will be an important part of our diversely talented, highly experienced team and work at the forefront of high-profile transactions. The EY-Parthenon - Transaction Strategy and Execution (TSE) practice is serving private equity and corporates in strategy, due diligence, carve-out, integration and value creation. As a member of EY Parthenon’s market-leading proposition you will help create and maximize value for our clients, whether they are acquiring or divesting assets.
The opportunity
Transaction Strategy and Execution (TSE) provides transaction advice to assist corporate and private equity clients in realizing the value proposition of their strategy via the integration or divestment of assets/ businesses – getting involved early to help solve their most challenging issues. As a team, we get involved early with pre-deal analysis and due diligence. We prepare and execute separation and integration plans, identify sources of value enhancement, and advise on the successful change of a business.

Your key responsibilities
- As a (Senior) Manager you will be part of, or leading, multi-disciplinary project teams, and meetings with senior client stakeholders to advise, shape and drive the strategy and planning for integration, carve-out / separation and operational restructuring.
- In your role you will manage day-to-day problem solving and team analytical activities and serve as a key liaison among consulting team members and partners, and our clients.
- Contribute to business development, develop your own internal and external network and support marketing of our propositions.
- Advise clients on how to properly separate and integrate assets / businesses with varying levels of entanglement, complexity and dependencies.
- Advise clients amongst different parts of the deal lifecycle from strategy, due diligence, stand-alone costing, to transitional services structure and exits.
- Design and execute carve-out/ integration implementation for and with our clients.
- Independently lead discussions and collaborate with stakeholders within several teams across the company to get input, define plans and make recommendations.
- Address key business continuity issues and risks by applying industry best practices and pragmatic solutions to ensure successful transactions for our clients.

To qualify for the role
- Minimum of 5 (manager) or 7 (senior manager) years relevant M&A experience in a large international company, investment banking, private equity or consulting/ professional services.
- M&A experience including integration, carve-out or corporate restructuring.
- A Master’s degree in a Science, Engineering or Business Administration related field.
- An aptitude for qualitative and quantitative analysis and the ability to link business strategy to performance
- Proven experience in leading project teams in different projects or aspects around the M&A lifecycle
- Excellent at communicating in spoken and written English. Working proficiency in the Dutch language is a plus.
